The terms that govern your use of our website and wholesale services.

These Terms & Conditions (“Terms”) govern your access to and use of tolotradinginc.com (the “Site”) and the wholesale catalog, quote, and related services offered by Tolo Trading Inc (“Tolo Trading,” “we,” “us,” or “our”). By accessing the Site or submitting a quote or business registration request, you agree to these Terms. If you do not agree, please do not use the Site.

1. About Tolo Trading & Our Wholesale Model

Tolo Trading Inc is a California-based importer, wholesale supplier, and distributor of premium food products. The Site operates as a business-to-business wholesale catalog. Product listings are provided for catalog and quote purposes only: no prices are displayed and no online purchase or payment is processed through the Site. Orders are arranged through quotes that are confirmed directly with our team.

2. Eligibility

The Site and our services are intended for businesses and for individuals who are at least 18 years old and are acquiring products for resale or commercial purposes. By using the Site, you represent that you meet these requirements and that you are authorized to act on behalf of the business you represent. We may require business registration and verification before fulfilling an order.

3. Accounts & Business Registration

Information you provide during business registration or in any form must be accurate, current, and complete, and you are responsible for keeping it up to date. You are responsible for the activity associated with your submissions. We may approve, decline, suspend, or revoke a registration at our discretion.

4. Product Catalog & Availability

Product descriptions, images, weights, and packaging details are provided for general reference and may vary. Product availability is not guaranteed and may change without notice. Because we supply natural food products, slight variation in color, size, and appearance is normal and does not constitute a defect.

5. Quotes & Orders

Submitting a quote request or order request through the Site does not create a binding order or contract. Pricing, availability, minimum quantities, lead times, and other terms are confirmed in writing in a quote or invoice issued by Tolo Trading. A binding agreement is formed only when we issue a written confirmation or invoice and you accept it.

6. Pricing & Payment

Prices vary by product, quantity, specification, and destination, and are provided by quote rather than displayed on the Site. Payment terms are agreed individually and confirmed before fulfillment. Unless stated otherwise in your quote or invoice, you are responsible for any applicable taxes, duties, and fees.

7. Shipping, Delivery & Title

Shipping timelines are estimates and are confirmed on a per-order basis. Unless otherwise agreed in writing, risk of loss and title pass in accordance with the delivery terms (such as the applicable Incoterms) stated in the relevant quote or invoice.

8. Inspection, Claims & Returns

Please inspect all goods upon receipt. Claims for shortages, damage, or non-conformance must be reported to us in writing within five (5) business days of delivery, together with supporting details. Due to the nature of food products, returns are accepted only where expressly agreed in writing.

9. Quality & Compliance

We take reasonable steps to source and handle products in line with applicable food-safety standards. You are responsible for ensuring that products meet your own requirements and for complying with all laws and regulations applicable to your resale and use of the products.

10. Intellectual Property

The Site and its content, including text, graphics, logos, images, and the “Tolo Trading” name and marks, are owned by or licensed to Tolo Trading and are protected by applicable laws. You may not copy, reproduce, distribute, or use them without our prior written permission.

11. Acceptable Use

You agree not to misuse the Site, interfere with its operation or security, attempt to gain unauthorized access, submit false or misleading information, or use the Site for any unlawful purpose.

12. User Submissions

You are responsible for the accuracy of the information and documents you submit through the Site, and you represent that you have the right to provide them and that they do not infringe the rights of any third party.

13. Disclaimers

The Site and catalog are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, secure, or error-free. Any product-specific warranties, if applicable, are set out in the relevant quote or invoice.

14. Limitation of Liability

To the fullest extent permitted by law, Tolo Trading will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to your use of the Site. Our total liability relating to the Site is limited to the amount, if any, you paid for the applicable transaction.

15. Indemnification

You agree to indemnify and hold harmless Tolo Trading and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Site or your breach of these Terms.

The Site may contain links to third-party websites or resources. We are not responsible for the content, products, or practices of those third parties, and providing a link does not imply endorsement.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to their jurisdiction.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date shown above. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

19. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with any quote or invoice we issue, constitute the entire agreement between you and Tolo Trading regarding your use of the Site.
